1. NO PURCHASE NECESSARY TO PLAY OR WIN. PURCHASE WILL NOT INCREASE THE ODDS OF WINNING.

2. ELIGIBILITY. All PrizeDistributors, Inc. (hereinafter referred to as "PrizeDistributors™") game promotions including, but not limited to, the PrizeDistributors™ Free One Million Dollar Game Promotion ("One Million Dollar Promotion"), the PrizeDistributors™ Free Twenty-Five Thousand Dollar Game Promotion ("Twenty-Five Thousand Dollar Promotion"), the PrizeDistributors™ Free Fifty Thousand Dollar Game Promotion ("Fifty Thousand Dollar Promotion"), the PrizeDistributors™ Free Hundred Thousand Dollar Game Promotion ("Hundred Thousand Dollar Promotion"), the PrizeDistributors™ Free Half a Million Dollar Game Promotion ("Half a Million Dollar Promotion"), the PrizeDistributors™ Free Guaranteed $2,500.00 Monthly Winner Game Promotion ("$2,500.00 Monthly Winner Promotion")*, the PrizeDistributors™ Free $5,000.00 Instant Win Sweepstakes Game Promotion ("$5,000.00 Instant Win Promotion"), and the PrizeDistributors™ Free $1.00, $5.00, $20.00, $50.00, & $100.00 Instant Cash Promotions ("Instant Cash Promotions") (all of the foregoing promotions are referred to collectively hereinafter as the "Promotions") are open only to legal residents of the United States, living in the United States, who are at least 18 years of age. These Promotions are void in Puerto Rico. Visitors to PrizeDistributors™ prize promotion marketing partner websites (hereinafter referred to as the "Promotion Websites") must register at the Promotion Websites in order to be eligible to play and win the Promotions online. See Section 4 for mail-in alternative means of entry. Employees, officers and directors of PrizeDistributors™, Traffix, Inc. ("Traffix"), SCA Promotions, Inc., their legal representatives, and each of their affiliates, parents, subsidiaries, advertising, promotional, fulfillment and marketing agencies, and their immediate families (and those living in their respective households) are not eligible to participate or claim prizes in the Promotions.

By entering the Promotions, participants agree to release, discharge and hold harmless PrizeDistributors™, Traffix, the Promotion Websites, SCA Promotions, their legal representatives, their affiliates, subsidiaries, parents, agencies and their respective officers, directors, employees and agents, from any and all damages that may arise out of, or in connection with, participation in the Promotions, or out of the acceptance, use, misuse or possession of prizes. By participating, you agree to these Official Contest Rules and to the Promotion winner(s) selections and decisions of the SCA Promotions and PrizeDistributors™ staff judges, respectively, which are final and binding in all respects. The Official Contest Rules posted at this website, will also be available at the Promotion Websites throughout the promotion period. 3. HOW TO ENTER GRAND PRIZE PROMOTIONS ONLINE. There are multiple methods of entry for PrizeDistributors™' Grand Prize promotions: First, you can enter to win the PrizeDistributors™ Grand Prize promotions by completing an online registration form, on any one or all of the Promotion Websites, and playing any of the PrizeDistributors™ powered Promotions. You must include your name, postal address, phone number, date of birth, and e-mail address in the registration form(s). You must update this information, as necessary, to remain eligible to win. By registering for a Promotion, you are also opting-in to become a registered member of PrizeDistributors™ and the applicable Promotion Website, and agree to accept e-mail messages from PrizeDistributors™, Promotion Websites, and their respective advertising affiliates (hereinafter referred to as "Advertisers") as a condition of such membership. Entries will be accepted every day, excluding legal holidays which, for the purposes of these Promotions shall include New Years Day, Easter Sunday, Memorial Day, Independence Day, Labor Day, Thanksgiving Day and Christmas Day. 4. MAIL-IN ENTRIES. As an alternative means of entry, players may submit mail-in entries to the Promotions. Contestants must mail each entry in a separate envelope, or on a separate postcard to: PrizeDistributors™, 1 Blue Hill Plaza, 5th Floor, Pearl River, New York 10965. Each envelope or postcard must contain no more than one (1) entry, which must indicate the date and specific Promotion to be entered. The mail-in entry must include the player's name, postal address, phone number, date of birth, and e-mail address, where available. Mail-in entries must be postmarked at least ten (10) days prior to the intended play date to help ensure timely receipt and entry into the applicable Promotion. Your mail-in entry will be entered into the applicable promotion by a designated PrizeDistributors™ representative, and will be pooled with all other entries into the drawing you have designated. The player will be notified via certified mail and/or telephone if he/she is a winner. Each entry will be valid for one (1) day's drawing. Any improperly submitted mail-in entries [i.e. any envelope or postcard containing more than one (1) entry or having an invalid or incomplete name and address] will be VOID. PrizeDistributors™ is not responsible for entries, claims or notices that are lost, late, illegible, misdirected, damaged, incomplete, incorrect or postage due.

5. MULTIPLE ENTRIES. Any promotional games, other than the $2,500.00 Monthly Prize Promotion, can be entered multiple times in any given day, excluding the legal holidays set forth in Section 3. If multiple entries are submitted by an entrant for a Promotion that contain the same winning numbers for a Grand Prize, only one (1) entry will qualify for submission. Any and all additional duplicate winning entries that are submitted by the same individual will be discarded.

6. E-MAIL INFORMATION. All Promotion entrants who register online will receive e-mail confirmation of their registration with PrizeDistributors™ and/or the applicable Promotion Website, and may receive e-mails confirming co-registration with Advertisers (as defined in Section 13A herein below). PrizeDistributors™ and its Advertisers, Promotion Websites, and joint marketers, also use e-mail to inform registrants of new membership benefits and features, to advise registrants of urgent problems on their websites and to present opportunities to buy products and services that they deem appropriate to the interests of their registrants.

8. IDENTIFICATION OF ENTRANTS. Each Grand Prize entry submitted will be automatically assigned a PrizeDistributors™ Entry Number (PDEN) in PrizeDistributors™' database. Entries will be deemed made by the person under whose name the entry was registered, regardless of who actually submitted the entry. Be sure to use your own e-mail address when you play. Entries submitted before 12:00 AM Eastern Time on any day will be eligible for the next available drawing. All entries made after 12:00 AM Eastern Time will be entered into the following day's drawing.

9. GRAND PRIZES. If more than one (1) entry contains the requisite numbers for the Grand Prize, the Grand Prize will be divided evenly among all such winners. Grand Prizes:
Promotion 1- $1,000,000.00 (Prize payable in annual installments of $25,000.00 per year, for thirty-nine (39) years, commencing twelve (12) calendar months from the date of the first payment.)
Promotion 2- $25,000.00 (Prize payable in a single installment.)
Promotion 3- $50,000.00 (Prize payable in a single installment.)
Promotion 4- $100,000.00 (Prize payable in a single installment.)
Promotion 5- $500,000.00 (Prize payable in annual installments of $25,000.00 per year, for nineteen (19) years, commencing twelve (12) calendar months from the date of the first payment.)

10. HOW TO WIN GRAND PRIZES. Players will have the option of either choosing six (6) numbers, or having the applicable Promotion Website randomly select six (6) numbers for them (for mail-in entry procedures, please refer to Section 3). The winning numbers will be matched against the six (6) numbers, either personally selected by the entrants or randomly chosen by the Promotion Websites, for all entries received between 12:00:01 AM Eastern Time, one (1) day prior to the drawing, and 12:00:00 AM Eastern Time the day of the drawing. Winning numbers for the Grand Prize Promotions will be fairly and impartially generated using random inputs. The six (6) winning numbers between 1 and 75 will be generated by 3:00 PM Eastern Time for each of the five (5) PrizeDistributors™ Grand Prize drawings every day, Monday through Sunday, excluding the legal holidays set forth in Section 3. If your online entry identically matches each of the six (6) winning numbers, and you are notified by PrizeDistributors™ that you have the winning numbers, you must respond with your claim within fourteen (14) days of attempted notification with your PDEN and name. If your mail-in entry identically matches each of the six (6) winning numbers, you must respond to PrizeDistributors™ with your claim within fourteen (14) days of PrizeDistributors™' attempt (via certified mail and/or telephone) to notify you. Winners will also be required to fulfill the obligations set forth in Section 14. The PDEN (for online entrants) and name must identically match the information included in each game's daily file of entries in PrizeDistributors™' database in order for a prize to be awarded. In the event of a dispute, the information in the PrizeDistributors™' database will govern. All prizes are subject to eligibility verification. Entries will be deemed made by the person under whose name the entry was registered, regardless of who actually submitted the entry. Be sure to use your correct name and your own e-mail address. In the event that there is any failure, error, or other difficulty in the transmission of the PDENs to the prize provider, for a given day's drawing, that drawing will be canceled at PrizeDistributors™' sole discretion and all entries will be rolled over to the next scheduled drawing. Grand Prize winners, if any, will be notified via e-mail (if they entered online), or telephone (if they mailed in their entry) within seven (7) days after the selection of the winning numbers. Grand Prize winners, if any, will also be notified by certified mail to their mailing address provided during registration. The winning numbers will also be posted after the drawing on the PrizeDistributors™ website. A Grand Prize Promotions ends when a Grand Prize winner is selected and a Token Prize is awarded or October 31, 2007, whichever is sooner.

11. GUARANTEED $2,500 MONTHLY WINNER GAME PROMOTION In order to participate in the $2,500 Monthly Winner Game Promotion, you must click on the link provided in the $2,500.00 Monthly Winner Prize Promotion e-mail that you receive, complete the necessary registration steps to enter the PrizeDistributors™ sweepstakes on any of the Promotion Websites that offer the Promotion and submit an entry in ten (10) PrizeDistributors™ Grand Prize sweepstakes offered on that website on the date of registration. Winner will be selected by a random drawing from all eligible entries during the month in subject. The $2,500.00 Monthly Winner will receive a cash prize of $2,500.00 to be paid via check, electronic transfer or Western Union® Quick Cash® service, pending eligibility verification. All participants in the Guaranteed $2,500 Monthly Winner Promotion who register and play ten (10) games on the date of registration will be awarded $1.00 through PayPal, Inc., an eBay, Inc. company, or other online payment service provider (hereinafter referred to as "PayPal"). All such winners will be contacted via e-mail (or certified mail and/or telephone if they mailed in their entry) and directed as to how they can collect their prize money through PayPal. Prize money may be withdrawn and/or utilized by the winner in three ways: 1) PayPal can deposit your winnings directly into your bank account (your request will be processed immediately and your money will arrive in your bank account in 3-5 business days); 2) You can request a personal check from PayPal (the check will arrive at your home by U.S. mail within 1-2 weeks); or 3) You can use your prize money towards purchases from a participating PayPal merchant.

12. $5,000.00 INSTANT WIN PROMOTION. Visitors to the Promotion Websites must sign up for membership with the applicable PrizeDistributors™ Promotion Website and register for PrizeDistributors™' Direct Deposit Service to be eligible to play and win the $5,000.00 Instant Win Promotion (mail-ins excepted). The PrizeDistributors™ Direct Deposit Service is a free service offered to PrizeDistributors™ Promotion Website members who provide PrizeDistributors™ Promotion Websites with their credit card or checking account information. That information will be used to deposit PrizeDistributors™ Promotion winnings ranging from $1 to $5000 from any PrizeDistributors™ Promotion, directly into the winner's credit card or checking account. In order to register for the PrizeDistributors™ Direct Deposit Service, the entrant must enter a valid credit card or checking account number in the Direct Deposit Service registration form. PrizeDistributors™ Promotion Websites only accept credit cards from the following providers for this promotion: Visa, MasterCard, American Express and Discover. The Winner of the $5,000.00 Instant Win Promotion will be determined by matching the last seven (7) digits of the PrizeDistributors™ promotion entrant's credit card or checking account number with a pre-selected seven (7) digit number that is randomly selected in advance of the contest. The last seven (7) digits of the PrizeDistributors™ entrant's credit card or checking account must exactly match the pre-selected seven (7) digit number in order to win. The $5,000.00 Instant Win Promotion will end either upon the first successful match to the pre-selected number or on October 31, 2007, whichever is sooner. There will only be one (1) $5,000.00 prize awarded in the $5,000.00 Instant Win Promotion.

Participants may enter the $5,000.00 Instant Win Promotion either via online entry, pursuant to Section 3 above, or mail-in entry, pursuant to Section 4 above. Participants who do not have a credit card or checking account must enter by mail and must select seven (7) numbers between zero (0) and nine (9) to enter. Participants in the $5,000.00 Instant Win Promotion may only play one (1) time regardless of entry method, for the entire duration of the $5,000.00 Instant Win Promotion. Winners who do not have a credit card or checking account will receive the $5,000.00 prize in the form of a personal check.

13A. HOW TO ENTER ONLINE. Enter by visiting a PrizeDistributors™ Promotion Website and completing the online registration form. You must include your name, postal address and e-mail address. You must update this information as necessary to remain eligible to win. By registering for a Promotion, you are also opting-in to become a registered member of PrizeDistributors™ and the applicable Promotion Website, and agree to accept e-mail messages from PrizeDistributors™, the applicable Promotion Website, and their respective advertising affiliates (hereinafter referred to as "Advertisers") as a condition of such membership.

13B. HOW TO WIN. Each Instant Cash Promotion entry will be assigned a sequential system generated number. Using random inputs, the winning number for the Instant Cash Promotions will be fairly and impartially generated. The winning number will be matched against the assigned numbers of all entries received between 12:00:01 AM Eastern Time, one (1) day prior to the drawing, and 12:00:00 AM Eastern Time, the day of the drawing. If your entry matches the pre-selected automatically generated winning number, and you are notified by PrizeDistributors™ that you have the winning number, you must respond within fourteen (14) days with your claim, which must identically match the information included in each game's daily file of entries in PrizeDistributors™' database in order for a prize to be awarded. In the event of a dispute, the information in the PrizeDistributors™' database will govern. Entries will be deemed made by the person under whose name the entry was registered, regardless of who actually submitted the entry. Be sure to use your correct name and your own e-mail address.

13C. WINNERS. Winners will be awarded their $1.00, $5.00, $20.00, $50.00, and/or $100.00 prize though PayPal. All such winners will be contacted via e-mail (or certified mail and/or telephone if they mailed in their entry) and directed as to how they can collect their prize money through PayPal. Prize money may be withdrawn and/or utilized by the winner in three ways: 1) PayPal can deposit your winnings directly into your bank account (your request will be processed immediately and your money will arrive in your bank account in 3-5 business days); 2) You can request a personal check from PayPal (the check will arrive at your home by U.S. mail within 1-2 weeks); or 3) You can use your prize money towards purchases from a participating PayPal merchant.

14. TOKEN PRIZE. At the close of each of the Promotions, excluding the $2,500 Monthly Winner Prize, a random drawing will be conducted for a Curve™ Radio, valued at $5.99. The winner will be randomly selected from among all entries submitted for each Promotion up to the date that a winner was selected, or the Promotion period ended, whichever occurred sooner. Winners will be notified via e-mail (or certified mail and/or telephone if they mailed in their entry) within seven (7) days following the selection of the winning entry.

16. UNCLAIMED PRIZES WILL NOT BE AWARDED. Prize winners will be required to execute and return a notarized Affidavit of Eligibility and Liability/Publicity Release within fourteen (14) days following attempted notification. Non-compliance within this time period may result in forfeiture of the applicable prize. Winners will be required to provide picture proof of identification, which may include a driver's license, passport, voting card or similar government issued identification. Return of any prize/prize notification as undeliverable may result in forfeiture.

17. LIMITED TIME ONLY. A Grand Prize Promotions ends when a Grand Prize winner is selected and a Token Prize is awarded or October 31, 2007, whichever is sooner.

18. WINNERS LIST. To receive a list of winners, send a self addressed stamped envelope, together with a note indicating dates of interest to: PrizeDistributors™, 1 Blue Hill Plaza, Pearl River, New York 10965.

19. TAX INFORMATION. Federal, state and local taxes, and all similar fees and assessments, are the responsibility of the winner. PrizeDistributors™ reserves the right to withhold taxes from each winning prize, as appropriate.

20. NO SUBSTITUTION OF PRIZES. No substitution or transfer of prizes will be accommodated or permitted, other than at PrizeDistributors™' sole discretion.

21. PUBLICATION. Acceptance of any prize constitutes permission for PrizeDistributors™, its Promotion Websites, affiliates, parents, subsidiaries, advertising and promotional agencies to use winner's name and likenesses for advertising and promotional purposes without further compensation, except where prohibited by law. Each winner further grants to PrizeDistributors™, and the applicable Promotion Website employing the PrizeDistributors™ powered Promotion, the right to use and publish their identity and home state online and in print, or in any other media, in connection with the Promotions.

22. RELEASE. By entering the Promotions, each participant agrees to release and hold harmless PrizeDistributors™, Traffix, the Promotion Websites, SCA Promotions, their legal representatives, their affiliates, subsidiaries, parents, agencies and their respective officers, directors, employees and agents from any and all liability for any injuries, loss or damage of any kind arising from, or in connection with, the Promotions or any prize won. Restrictions, conditions, and limitations apply. By entering, each participant further agrees that, in the event there is any conflict or other inconsistency between the Official Contest Rules and any advertisements, promotional or marketing materials, e-mails, or announcements relevant to the Promotions, these Official Contest Rules will govern.

23. DISQUALIFICATION. PrizeDistributors™, Traffix, the Promotion Websites, SCA Promotions, their legal representatives, their affiliates, subsidiaries, parents, agencies and their respective officers, directors, employees and agents, are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions or technical failure, lost e-mail entries, lost mail-in entries, jumbled, scrambled or misdirected transmissions, or other error of any kind, whether human, mechanical or electronic. Persons found tampering with or abusing any aspect of the Promotions, as solely determined by the judges, will be disqualified. If disqualified for any of the above reasons, PrizeDistributors™ reserves the right to terminate player's eligibility to participate in the Promotions. In the event that any portion of the Promotions is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of PrizeDistributors™ which, in the sole opinion of PrizeDistributors™, corrupts, or impairs the administration, security, fairness or proper play of the Promotions, PrizeDistributors™ reserves the right, in its sole discretion, to suspend or terminate the Promotions or any part of the Promotions, or to roll all entries into the next promotion period, or any combination of the above. PrizeDistributors™, Traffix, the Promotion Websites, SCA Promotions, their legal representatives, their affiliates, subsidiaries, parents, agencies and their respective officers, directors, employees and agents are not responsible for any problem with entries generated by computer hardware or software malfunction, error or failure, whatever the cause. PrizeDistributors™' sole responsibility for any irregular entry is replacement with another entry. If a potential winning entry is made by Internet or other computer entry, that potential winner may be required to provide PrizeDistributors™ with proof that the potential winner is the authorized account holder of the electronic mail address associated with the potential winning entry. WebTV users may experience technical problems that may prevent them from registering and/or playing the Promotions. As such, PrizeDistributors™ hereby further disclaims any responsibility for incomplete WebTV registrations and/or entries.

24. LEGAL WARNING. Any attempt by any individual, whether or not a contestant, to damage, destroy, tamper with or vandalize this website, the Promotion Websites, or otherwise interfere with the operation of the Promotions, is a violation of criminal and civil law and PrizeDistributors™ will diligently pursue any and all remedies in this regard against any offending individual or entity to the fullest extent permissible by law and in equity.
